Service Agreement

By engaging our productivity consultancy services, you agree to these terms. Scope of work defined in statement of work (SOW) including deliverables schedule. Cancellation requires 14-day notice per UCC § 2-725.

Payment & Fees

Invoicing net-30 from invoice date. Late payment accrues 1.5% monthly interest (max legal rate). Taxes are excluded unless otherwise stated. Retainer packages require 50% upfront.

Intellectual Property

Training materials and proprietary frameworks remain our IP (© Elite Time Management). Client retains process improvements and derived data. Non-disclosure agreement (NDA) governs confidential information.

Liability Limitation

Our liability is limited to fees paid per § 2-719(1)(a). We disclaim consequential damages and lost productivity. Force majeure clauses apply under Restatement (Second) of Contracts § 261.

Dispute Resolution

Governing law: New York State. Arbitration via AAA rules per FAA 9 U.S.C. § 1 et seq.. Class actions waived.
